1. Acceptance of Terms

Welcome to Monks. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Monks ("we," "us," or "our") governing your access to and use of the Monks mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

These Terms apply to all users of the App, including both free users and paid subscribers.

2. Eligibility

2.1 Age Requirement

You must be at least 17 years old to use the App. By using the App, you represent and warrant that you are at least 17 years of age.

If you are under 18 but at least 17 years old, you represent that you have reviewed these Terms with your parent or legal guardian and that they have agreed to these Terms on your behalf.

2.2 Geographic Restrictions

The App is available worldwide. However, some features or subscription options may vary by region based on local laws and regulations.

3. Account Registration

3.1 Account Creation

To use certain features of the App, you must create an account. You may register using:

  • Email and password
  • Apple Sign-In

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

You may delete your account at any time through the App settings. Upon account deletion:

  • Your personal data will be deleted within 30 days
  • Your access to the App will be terminated
  • Any active subscription will remain active until the end of the current billing period (no refunds for partial periods)

We reserve the right to suspend or terminate your account if you violate these Terms.

4. Subscription and Payment Terms

4.1 Subscription Plans

Monks offers the following subscription plans:

  • Weekly Plan: $9.99 per week
  • Monthly Plan: $17.99 per month
  • Yearly Plan: $59.99 per year
  • Discount Yearly Plan: $34.99 per year (available only through special promotions)

All prices are in USD and may vary by region due to local taxes and currency exchange rates.

4.2 Free Trial

Monks does not currently offer a free trial. Payment is required immediately upon subscription purchase.

4.3 Billing and Auto-Renewal

All subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.

  • Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current subscription period
  • The renewal charge will be at the same rate as your initial subscription unless we notify you of a price change in advance
  • You can manage your subscription and turn off auto-renewal in your Apple ID Account Settings after purchase

4.4 Payment Processing

All payments are processed through Apple's App Store. We do not collect or store your payment card information. Payment processing is subject to Apple's terms and conditions.

By subscribing, you authorize Apple to charge your selected payment method for the applicable subscription fees.

4.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will:

  • Be communicated to you at least 30 days in advance
  • Not affect your current subscription period
  • Apply to subsequent renewal periods unless you cancel before the renewal date

4.6 Taxes

You are responsible for any applicable taxes (sales tax, VAT, GST, etc.) based on your billing address. These taxes may be added to your subscription price at checkout.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your Apple ID Account Settings:

  • Open Settings on your iOS device
  • Tap your name → Subscriptions
  • Select Monks
  • Tap "Cancel Subscription"

Cancellation will take effect at the end of your current billing period. You will retain access to premium features until that date.

5.2 Refund Policy

All sales are final. We do not offer refunds for subscription purchases, except as required by law.

If you believe you were charged in error or experienced a technical issue that prevented you from using the App, contact Apple Support or email us at support@bemonks.com within 14 days of purchase. We will review refund requests on a case-by-case basis.

Refunds, if approved, are processed by Apple and may take 5-10 business days to appear in your account.

5.3 No Partial Refunds

If you cancel your subscription mid-cycle, you will not receive a refund or credit for the unused portion of your subscription period.

6. License and Restrictions

6.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on a device you own or control
  • Access and use the App for your personal, non-commercial use

6.2 Restrictions

You agree not to:

  • Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the App
  • Modify: Modify, adapt, translate, or create derivative works of the App
  • Distribute: Sell, rent, lease, sublicense, distribute, or otherwise transfer the App to any third party
  • Circumvent: Remove, disable, or circumvent any security features or technological protection measures in the App
  • Automate: Use bots, scripts, or automated tools to access or interact with the App
  • Scrape: Extract, scrape, or harvest data from the App using automated means
  • Misrepresent: Impersonate another user or provide false information during registration
  • Interfere: Interfere with or disrupt the App's servers, networks, or security
  • Violate Laws: Use the App for any illegal or unauthorized purpose

Violation of these restrictions may result in immediate termination of your account and legal action.

7. User Content

7.1 Your Content

The App allows you to create and store content, including:

  • Your Day 0 written commitment
  • Daily recap responses
  • Notes and reflections
  • Habit completion data

You retain all ownership rights to your content. However, by using the App, you grant us a limited license to store, process, and display your content solely for the purpose of providing the App's services to you.

7.2 Content Standards

You agree that your content will not:

  • Contain illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
  • Violate any third party's intellectual property rights, privacy rights, or other legal rights
  • Contain viruses, malware, or other harmful code
  • Be used to harass, abuse, or harm another person

We reserve the right (but have no obligation) to review, monitor, or remove content that violates these standards.

7.3 No Backup Responsibility

While we take measures to protect your data, you are solely responsible for maintaining backups of your content. We are not responsible for any loss or corruption of your content.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The App and all of its content, features, and functionality (including but not limited to design, text, graphics, logos, icons, images, audio clips, and software) are owned by Monks and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Monks name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Monks. You may not use these marks without our prior written permission.

8.2 Feedback

If you provide us with any feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the App without any obligation to you.

9. Disclaimers

9.1 "As Is" and "As Available"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR AVAILABILITY

9.2 No Medical or Professional Advice

THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, PSYCHOLOGICAL, OR MENTAL HEALTH ADVICE, DIAGNOSIS, OR TREATMENT.

The App provides general information and tools for building discipline and tracking habits. It is designed for self-improvement and personal development purposes only.

  • The App does not provide medical advice or mental health counseling
  • The content within the App is not intended to diagnose, treat, cure, or prevent any disease or mental health condition
  • You should not rely on the App as a substitute for professional medical advice, diagnosis, or treatment

If you are experiencing a mental health crisis or medical emergency, contact emergency services (911 in the US) or a qualified healthcare provider immediately.

By using the App, you acknowledge that:

  • You are using the App at your own risk
  • The App's content is for informational purposes only
  • You will seek professional help for any medical or psychological concerns

9.3 No Guarantee of Results

We make no guarantees or warranties that use of the App will result in any specific outcomes, improvements, or results. Individual results may vary.

The App's effectiveness depends on your personal commitment, effort, and consistency. We do not guarantee that:

  • You will complete the 84-day program
  • You will achieve your personal goals
  • You will see specific physical, mental, or behavioral changes

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the App
  • Any conduct or content of any third party on or through the App
  • Unauthorized access, use, or alteration of your content or data
  • Any bugs, viruses, or other harmful code transmitted through the App

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Monks, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property rights or privacy rights
  • Your content or any content you submit, post, or transmit through the App

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uruguay, without regard to its conflict of law provisions.

12.2 Arbitration Agreement

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App (collectively, "Disputes") shall be resolved through binding arbitration, except as set forth below.

By agreeing to these Terms, you and Monks agree to resolve Disputes through binding arbitration instead of going to court.

Arbitration is more informal than a lawsuit in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

Exceptions to Arbitration:

The following Disputes are not subject to arbitration:

  • Any claim seeking equitable relief (such as an injunction)
  • Any claim related to intellectual property rights
  • Small claims court actions (if the claim qualifies)

12.3 Class Action Waiver

YOU AND MONKS AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Monks.

12.4 Jurisdiction and Venue

For any Disputes not subject to arbitration, you and Monks agree to submit to the personal and exclusive jurisdiction of the courts located in Uruguay.

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting your account through the App settings.

13.2 Termination by Us

We may suspend or terminate your account and access to the App immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Requests by law enforcement or government agencies
  • Extended periods of inactivity

13.3 Effect of Termination

Upon termination:

  • Your right to use the App will immediately cease
  • Your account data will be deleted within 30 days
  • Any active subscription will remain active until the end of the billing period (no refunds)
  • Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions

14. Modifications to the App and Terms

14.1 Changes to the App

We reserve the right to:

  • Modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice
  • Change or remove features or functionality
  • Impose limits on certain features or restrict access to parts of the App

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

14.2 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by:

  • Posting the updated Terms in the App with a new "Last Updated" date
  • Sending a push notification or email (for significant changes)
  • Requiring you to accept the new Terms before continuing to use the App

Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the App and delete your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Monks regarding your use of the App and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent.

We may assign or transfer these Terms or our rights and obligations under these Terms to any third party without restriction.

15.5 No Agency

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms, and you do not have any authority to bind Monks in any respect.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, or failures of the Internet or telecommunications infrastructure.

16. Apple-Specific Terms

16.1 Acknowledgment

You acknowledge that:

  • These Terms are between you and Monks only, not with Apple Inc. ("Apple")
  • Monks, not Apple, is solely responsible for the App and its content
  • Apple has no obligation to provide maintenance or support services for the App

16.2 License Scope

The license granted to you is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.

16.3 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16.4 Warranty Disclaimer

Apple is not responsible for any claims relating to:

  • The App or your possession or use of the App
  • Any product liability claims
  • Any claim that the App fails to conform to applicable legal or regulatory requirements
  • Claims arising under consumer protection or similar legislation

16.5 Intellectual Property Claims

In the event of any third-party claim that the App infringes intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, or discharge of such claim.

16.6 Legal Compliance

You represent and warrant that:

  • You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
